1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Workestra App LLC ("Workestra," "we," "us," or "our"), governing your access to and use of the Workestra platform, including our website at workestra.app, APIs, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

2. Description of Service

Workestra is a business operations platform that provides tools for customer relationship management (CRM), project management, invoicing, recruiting, support, analytics, and related business functions. The Service is provided as a cloud-based Software-as-a-Service (SaaS) solution.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account and use the Service.

4. Workspaces and Data

When you create a workspace, you become the workspace owner. Workspace owners may invite other users and assign roles and permissions. You retain all rights to the data you upload, create, or store within your workspace ("Your Data").

We do not claim ownership of Your Data. We access Your Data only as necessary to provide and improve the Service, comply with legal obligations, or as otherwise described in our Privacy Policy.

5. Subscriptions and Billing

Workestra offers various subscription plans, including a free tier and paid plans. Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select.

Free trials, when offered, provide full access to the Service for a limited period. At the end of a trial, you must subscribe to a paid plan to continue using premium features. We will notify you before your trial ends.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Refunds are not provided for partial billing periods unless required by applicable law.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Upload or transmit malicious code, viruses, or harmful data
Attempt to gain unauthorized access to the Service or its related systems
Interfere with or disrupt the integrity or performance of the Service
Resell, sublicense, or redistribute the Service without our written consent
Use the Service to send unsolicited communications (spam)
Scrape, data mine, or use automated means to access the Service beyond normal API usage

7. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is the intellectual property of Workestra App LLC and is protected by copyright, trademark, and other applicable laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

8. Service Availability and Modifications

We strive to keep the Service available at all times but do not guarantee uninterrupted access. We may modify, update, or discontinue features of the Service at any time. For material changes that reduce functionality of your current plan, we will provide reasonable advance notice.

9. Data Security

We implement industry-standard security measures to protect Your Data. However, no method of electronic storage or transmission is 100% secure. You are responsible for maintaining the security of your account credentials and for any activity under your account.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or other reasonable cause. Upon termination, you may request export of Your Data for a period of 30 days. After this period, we may delete Your Data in accordance with our data retention practices.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKESTRA APP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you via the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
